These terms
These terms apply to work carried out by Invinent. Where a written proposal or agreement has been signed for a specific project, that document takes precedence over anything here that conflicts with it.
Quotes and pricing
Quotes are given as a fixed figure for a defined scope, and that scope is written into your proposal. The scope states the number of pages, including service pages and area pages, because page count is what drives both the price and the timeline.
Work outside the agreed scope is quoted separately before it is carried out. We will not add charges you have not agreed to in advance.
Quotes are valid for 30 days unless stated otherwise.
Payment
Unless otherwise agreed, projects are invoiced 50% on acceptance and 50% on launch. Ongoing services — maintenance, SEO, advertising management and hosting — are invoiced monthly in advance and can be cancelled at any time with no exit fee.
Advertising spend is paid by you directly to the platform, on your own account, and is separate from our management fee.
Timelines
Timelines are stated in your proposal and we work to them. They assume you supply content, photographs and any access we need at the start of the project — the most common cause of delay is waiting on photographs.
If material is outstanding, the timeline moves by the length of the delay. We will tell you when that happens rather than let a date pass quietly.
What you provide
You are responsible for the accuracy of the information you give us, and for having the right to use any photographs, logos, text or other material you send. We will assume you have that right unless you tell us otherwise.
Ownership
On final payment, ownership of the website — the design, the content we produced for it, and the files — transfers to you.
Your domain and hosting account are registered in your name from the outset and are yours at all times, regardless of the state of any invoice. You may move them at any point, and we will assist at no charge.
We retain the right to display the work in our portfolio and to describe what we did, unless you ask us in writing not to.
Third-party services
Some work depends on services we do not control — search engines, advertising platforms, hosting infrastructure, plugins and directories. We are not responsible for changes those providers make to their platforms, pricing or policies, though we will tell you when a change affects you and advise on the response.
Results
We build the foundations that make search rankings possible and we do the work that consistently improves them. We do not guarantee any specific ranking position, traffic level or number of enquiries, because no honest provider can — those outcomes depend on competition, budget, market conditions and factors outside anyone's control.
Where we agree targets with you, those are the numbers we report against, and if the work is not producing we would rather you cancelled than continued.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability in connection with any project is limited to the fees you have paid us for that project. We are not liable for indirect or consequential loss, including lost profits or lost business.
Cancellation
You may cancel a project at any time. Work completed up to that point is invoiced, and anything paid in advance for work not yet done is refunded.
Ongoing services can be cancelled at any time with no notice period and no exit fee. We will hand over every login and, if you are moving elsewhere, migrate the site for you at no charge.
Governing law
These terms are governed by the law of the jurisdiction in which the contracting Invinent entity is established, and the courts of that jurisdiction have exclusive jurisdiction over any dispute.
